Подход к изучению деятельности фирм, анализирующий внутренний конфликт между целями отдельных лиц и групп лиц внутри одной организации в противовес традиционной теории максимизации прибыли. Р. Сиерт и Дж. Марч (R.M. Cyert, J.G. March), основоположники поведенческой теории, считали, что у фирмы есть пять основных стратегических целей: организация производства, создание товарных запасов, сбыт продукции, увеличение своей доли на рынке, получение прибыли. Каждая отдельная группа управляющих компании стремится к достижению одной из этих целей. Среди менеджеров постоянно возникают дискуссии о приоритетности той или иной цели, в результате которых они пытаются достичь компромиссного решения. Однако этот конфликт обычно не угрожает самой фирме, поскольку менеджеры всегда имеют дополнительные ресурсы, которые позволяют им выполнять свои задачи при ухудшении экономической ситуации (см. Organizational slack). Чтобы добиться принятия рациональных решений, необходимо устранить противоречия между разными целями. В традиционной экономической теории утверждается, что рациональность может быть достигнута только экономически мыслящим человеком (см. Economic man), способным определять задачи и добиваться их решения. Поведенческая теория доказывает, что цели не являются абсолютно рациональными и, следовательно, новые цели не всегда соответствуют существующей стратегии: невозможно добиться всех целей одновременно. Поведенческая теория также рассматривает проблемы внутренних взаимосвязей в крупных иерархических организациях. В ней подчеркивается, что процесс принятия решений охватывает все уровни управления, а не только верхнее звено. Это происходит потому, что управляющие нижнего уровня не просто выполняют приказы сверху, они сами проявляют инициативу, например, в вопросах планирования своей работы или при анализировании информации, которая передается наверх. Все это затрудняет навязывание высшим руководством своих целей всей организации.
